Capabilities and Services

Real Estate Transactions:  Environmental risk can affect liquidity, valuation and the cost and availability of financing.  Risk can be managed using the purchase/sale agreement, capital hold backs and environmental insurance but in many cases the best approach will be through the coordinated use of multiple risk management tools. The effective management of portfolios may require the integrated use of environmental, credit and interest rate risk transfer tools.

Mergers, acquisitions, divestitures, debt and equity offerings:  When balance sheets are scrutinized, the disclosure and valuation of environmental liabilities can impact transaction costs.  Errors or omissions in disclosure and valuation expose officers and directors to additional risk.  Insurance coordinated with properly drafted disclosures, representations and warranties provides one way to control these loss exposures.

Redevelopment of contaminated properties:  When remediation risks and optionally are properly managed, redevelopment can become economically viable.  Costs and benefits of alternative project strategies can be measured.  Contracts, insurance and available waivers can be used to precisely allocate risk amount stakeholders.

Public and quasi-public entities:  Public sector risk management issues parallel those noted for private firms.  Costs of debt funding are affected by environmental risk.  Statutes and regulations can expand or constrain the risk management capabilities of public agencies.  We have had substantial experience designing risk management programs within such frameworks for public sector clients.

Manufacturing, transportation and petrochemical firms:  Firms handling hazardous materials may be required to arrange the funding of prospective or retrospective environmental liabilities.  Insurance, bonds and letters of credit are useful but better alternatives may involve integrated insurance, self-insurance and alternative risk programs.  Incisive financial analysis is required to make a sound decision.

Long-term environmental liability management:  The management of long term environmental liabilities requires the coordination of risk transfer and financial instruments.  Our experience in this regard includes RCRA facility closures, operations and maintenance plans, liability buy-outs and settlements.

Mold and indoor air quality:  Mold is now an issue of concern to property portfolio managers, lenders, developers and contractors.  Risk management programs with environmental insurance can be used to control this liability exposure.  Manufacturers of construction materials face substantial products liability exposure associated with the mold hazard.  This risk can be transferred using carefully crafted environmental insurance products.
